Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Coach Ivy ("Company," "we," "us," or "our") governing your access to and use of the Coach Ivy mobile application, the website at coachivy.app, and any related services (collectively, the "Service").

By accessing or using the Service in any manner, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 17 years old (or between 16 and 17 in the European Economic Area), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

By using the Service, you represent and warrant that:

• You meet the minimum age requirement;
• You have the legal capacity to enter into a binding agreement;
• You are not prohibited from receiving the Service under applicable law; and
• All information you provide is accurate and truthful.

The Service is not available to users who have been previously banned or suspended by Coach Ivy.

3. Description of the Service

Coach Ivy is a health and wellness application that provides:

• AI-powered photo recognition for estimating calories and macronutrients in meals;
• Manual food logging with calorie and macro tracking;
• Goal setting for calories, macronutrients, and weight;
• An AI coaching persona that provides motivational feedback and habit-building guidance;
• Water intake tracking;
• Educational content about nutrition and healthy habits.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will try to provide advance notice for material changes that affect active users.

4. Not medical advice

The calorie and nutrient estimates provided by Coach Ivy are approximations based on AI analysis and available food databases. These estimates may be inaccurate and should not be relied upon for medical decision-making.

Do not use Coach Ivy to:

• Diagnose, treat, or manage any medical condition, including eating disorders, diabetes, or cardiovascular disease;
• Make decisions about medications, supplements, or medical treatments;
• Replace the advice of a registered dietitian, physician, or other licensed healthcare provider.

If you have or suspect you have an eating disorder, nutritional deficiency, or other health condition, please consult a qualified healthcare professional before using any calorie tracking application, including Coach Ivy.

By using the Service, you acknowledge that you are doing so voluntarily and that you take full responsibility for your dietary decisions and their consequences.

5. Accounts and registration

5.1 Account creation

You may be required to create an account to access certain features of the Service. You agree to provide accurate, current, and complete information during registration and to keep that information updated.

5.2 Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@coachivy.app if you suspect unauthorized access to your account.

We will not be liable for any loss or damage arising from your failure to protect your account credentials.

5.3 One account per user

Each user may maintain only one account. Creating multiple accounts to circumvent restrictions or bans is prohibited.

5.4 Account deletion

You may delete your account at any time by contacting us at support@coachivy.app. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.

6. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal purpose or in violation of any local, national, or international law;
• Attempt to gain unauthorized access to any part of the Service, its servers, or any related systems;
• Use automated tools (bots, scrapers, crawlers) to access the Service without our written consent;
• Reverse engineer, decompile, or disassemble any part of the Service;
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission;
• Transmit any material that is harmful, threatening, defamatory, obscene, or otherwise objectionable;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Interfere with or disrupt the integrity or performance of the Service;
• Attempt to probe, scan, or test the vulnerability of the Service or any related network;
• Upload content that infringes the intellectual property rights of others.

Violation of these rules may result in immediate suspension or termination of your account without notice or refund.

7. Subscriptions and payments

7.1 Free tier

Coach Ivy offers a free tier with access to core features including photo-based calorie logging, manual food entry, and basic macro tracking. No payment information is required for the free tier.

7.2 Premium subscriptions

We may offer optional paid subscriptions ("Premium") that unlock additional features. If you purchase a Premium subscription:

• Payment is processed through Apple's App Store using your Apple ID. We do not directly collect or store your payment information.
• Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) unless cancelled at least 24 hours before the renewal date.
• You may manage and cancel your subscription at any time through your iPhone's Settings → [your name] → Subscriptions → Coach Ivy.
• Cancellation takes effect at the end of the current billing period. You will retain access to Premium features until the end of the paid period.

7.3 Free trials

We may offer free trials of Premium. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription at the applicable rate.

7.4 Refunds

Payments are processed by Apple and are subject to Apple's refund policy. We do not directly control refunds for App Store purchases. To request a refund, visit reportaproblem.apple.com.

7.5 Price changes

We reserve the right to change subscription prices at any time. Price changes will be notified to active subscribers in advance and will not take effect until the next renewal period.

8. Intellectual property

8.1 Our content

The Service, including its content, features, design, software, text, graphics, logos, and the Coach Ivy brand and character, are owned by or licensed to Coach Ivy and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or create derivative works from our content without express written permission.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use that feedback without any obligation to compensate you or keep it confidential.

8.3 Third-party content

Calorie and nutrition data displayed in the Service may be sourced from publicly available databases, including USDA FoodData Central and other licensed food databases. We do not claim ownership over this third-party data.

9. User content

You retain ownership of any content you submit to the Service, including food log entries, custom food items, and profile information. By submitting content to the Service, you grant Coach Ivy a limited, non-exclusive, royalty-free license to use, store, and process that content solely to provide the Service to you.

We do not use your personal food logs, photos, or health data for advertising, and we do not share your individual data with third parties for commercial purposes. See our Privacy Policy for full details.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Third-party services and links

The Service may contain links to third-party websites or services, including the Apple App Store. These links are provided for your convenience only. We do not control third-party services and are not responsible for their content, privacy practices, or terms.

Your interactions with third-party services are governed by their own terms and privacy policies. We encourage you to review the terms and privacy policies of any third-party service you use.

The Service may integrate with Apple HealthKit. Your use of HealthKit is subject to Apple's terms and conditions. We are not affiliated with, endorsed by, or sponsored by Apple Inc. beyond the standard App Store relationship.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free;
• The results obtained from use of the Service will be accurate or reliable;
• The quality of any information obtained through the Service will meet your expectations;
• Any errors in the Service will be corrected.

Calorie and nutrient estimates produced by AI photo analysis are approximations and may be significantly inaccurate for complex mixed dishes, unusual presentations, or foods outside the training data. You should not rely on these estimates for medical decision-making.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COACH IVY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

• Your access to or use of (or inability to access or use) the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service, including calorie and nutrition estimates;
• Unauthorized access, use, or alteration of your transmissions or content;
• Decisions made based on information provided by the Service, including dietary decisions.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COACH IVY IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Coach Ivy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Service;
• Your violation of these Terms;
• Your violation of any third party's rights;
• Any content you submit to the Service.

15. Termination

15.1 By you

You may stop using the Service at any time and delete your account by contacting support@coachivy.app.

15.2 By us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including if:

• You violate these Terms;
• Your use of the Service creates risk or legal exposure for us;
• We discontinue the Service.

If we terminate your account without cause, we will provide a pro-rata refund of any prepaid Premium subscription fees.

15.3 Effect of termination

Upon termination, your right to access the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 8, 12, 13, 14, 16) will remain in effect.

16. Governing law and disputes

16.1 Governing law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law provisions. If you are a consumer in the EEA or UK, you also benefit from mandatory provisions of the law of your country of residence.

16.2 Dispute resolution

We hope to resolve any disputes informally. Before filing a claim, please contact us at support@coachivy.app and give us 30 days to resolve the issue.

16.3 Arbitration

For users in the United States, any dispute that cannot be resolved informally will be settled by binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration will take place in San Francisco, California, unless we agree otherwise. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

This arbitration clause does not apply to users in the EU, UK, or other jurisdictions where mandatory consumer protection laws prohibit binding pre-dispute arbitration agreements.

16.4 Injunctive relief

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

17. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms at coachivy.app/terms-of-service.html with a new "Last updated" date.
• Sending an in-app notification or email for changes that materially affect your rights.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
